Bylaws
Removal of reference to Collinsville, as the Purpose of the Society relates to the entire area of Canton.
Addition of a statement that the Society will be in compliance with state law regulating Non Stock Corporations and all other Connecticut statutes.
Simplifying the membership description, removing the class of “Incorporators” and defining voting rights at the Annual Meeting as being reserved for those who have paid their annual dues by the declared record date.
Modifying the meeting notice requirement allowing only the Annual Meeting notice to be included the local newspaper.
Modifying the election procedures to allow all members to vote for the Board of Directors and the Board of Directors to elect the Officers of the Corporation.
Adding a requirement that Board members attend a minimum of six Board meetings in any year with the President having the right to excuse an absence for good cause.
Adding a definition of “Honorary Directors”.
Allowing removal of an Officer by a two-thirds majority of the Board of Directors.
